Crooked Ideas, a 501(c)(3) non-profit organization, (“Crooked”), operates this website www.crookedideas.org (the “Site”), and the services related to or offered on the Site (collectively, the “Service”). These TOU govern your use of the Service that are provided by Crooked. Please read this agreement carefully before accessing or using the Service. Each time you access or use the Service, you agree to be bound by these TOU. If you do not agree to be bound by all of these TOU, you may not access or use the Service. In addition, certain areas of the Site or Service may be subject to additional terms of use that Crooked makes available for your review. By using such areas, or any part thereof, you are expressly indicating that you have read and agree to be bound by the additional terms of use applicable to such areas. In the event that any of the additional terms of use governing such area conflict with these TOU, the additional terms will control. Crooked reserves the right to amend this TOU at any time and without notice. If Crooked does this, Crooked will post an updated TOU and indicate at the top the date the TOU was last revised. Your continued use of the Service after any such posting constitutes your acceptance of the new TOU. If you do not agree to these TOU or any future terms of use, do not use or access (or continue to access) the Service. This Agreement applies to all visitors, users, and others who access the Service.
User Obligations
You agree to abide by all applicable local, state, national, and international laws and regulations, including U.S. export and re-export control and economic sanction laws and regulations, with respect to your use of the Service. You also acknowledge and agree that your use of the Internet and access to the Site is solely at your own risk. You should also understand that the confidentiality of any communication or material transmitted to/from the Site over the Internet or other form of global communication network cannot be guaranteed. Accordingly, Crooked is not responsible for the security of any information transmitted to or from the Site. Crooked reserves the right to prohibit or terminate use of or access to the Site at any time, without notice, for any reason whatsoever.
License Grant
This TOU provides you a personal, revocable, limited, non-exclusive, royalty-free, non-transferable license to use the Service conditioned on your continued compliance with these TOU. You may not access or use the Service in any way that is not expressly permitted by these TOU. You may not: (i) cause, permit or authorize the modification, copy, creation of derivative works, translation, reverse engineering, decompiling, disassembling, or hacking of the Service; (ii) sell, assign, rent, lease, or grant rights in the Service, including, without limitation, through sublicense, to any other person or entity; or (iii) use the Service for any unlawful, prohibited, abnormal, or unusual activity as determined by Crooked in its sole discretion.
Crooked reserves the right to change or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice at any time. You agree that Crooked, its agents, affiliates, and subsidiaries shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
Your Access to the Service
Internet Access. When using the Service on your mobile, laptop, desktop, or other device (your “Device”), you acknowledge and agree that you are responsible for (i) maintaining Internet access for your Device and (ii) any Internet connection and telecommunications fees and charges that you incur.
Your Device. Crooked is not responsible for the operation of your Device. You are responsible for ensuring the system functions of your Device are in working order when accessing the Service, including, but not limited to screen display operation features of your Device.
No Guarantee. Access to the Service may be suspended temporarily and without notice (i) in the event of system failure, (ii) for maintenance or repair, (iii) where we reasonably suspect there has been a breach of these TOU, (iv) for reasons reasonably beyond our control, or (v) as otherwise explained in these TOU.
Prohibited Activities
The Service is not intended for individuals under the age of 18 and individuals under 18 should not use the Service. You acknowledge and agree that the Service contains proprietary and confidential information that is protected by applicable intellectual property and other laws, and are the sole property of Crooked, or its content providers. Unless otherwise specified in writing, the Service is for your personal and non-commercial use. In connection with your use of the Service, you acknowledge and agree that you will not: (i) copy, reverse engineer, reverse assemble, otherwise attempt to discover the source code, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, software, products or services obtained through the Site or the Service; (ii) access the Site or Service by any means other than through the standard industry-accepted or Crooked-provided interfaces; (iii) post or transmit any material that contains a virus or corrupted data; (iv) delete any author attributions, legal notices or proprietary designations or labels; (v) violate any applicable local, state, national or international law, rule or regulation or use the Site and/or the Service for any purpose that is prohibited by these TOU; (vi) manipulate or otherwise display the Site and/or the Service by using framing or similar navigational technology; (vii) register, subscribe or unsubscribe any party for any Crooked product or service if you are not expressly authorized by such party to do so; (viii) use the Site or the Service in any manner that could damage, disable, overburden or impair Crooked’s servers or networks, or interfere with any other user’s use and enjoyment of the Site and/or the Service; (ix) gain or attempt to gain unauthorized access to any of the Site, Service, computer systems or networks connected to Crooked through hacking, password mining or any other means; (x) Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Service or harvest or otherwise collect information about other users without their consent; and (xi) use the Service in any manner that could damage, disparage, or otherwise negatively impact Crooked or its parent companies, affiliates and/or subsidiaries. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, COPYING OR REPRODUCING ANY SERVICES, PROGRAMS, PRODUCTS, INFORMATION OR MATERIALS PROVIDED BY CROOKED TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.
Idea Submissions
We welcome feedback from our users and appreciate your comments regarding our Service. However, our company policy does not permit us to accept or consider ideas, suggestions, proposals, or materials (“Submissions”) that we have not specifically requested. This policy is intended to help us, and our customers avoid future misunderstandings when new products or services developed internally by our employees might be similar or even identical to a customer’s idea.
If, despite our request that you not send us your ideas, you still submit them, then regardless of any conditions you may have attempted to place on your Submission, the following terms shall apply to your Submission: you acknowledge and agree that: (i) such Submissions will be considered non-confidential and non-proprietary; (ii) we have the right (subject to our Privacy Policy), without limit in time and without payment to you, to use, copy, distribute, adapt, and disclose it via the Service or otherwise to third parties for any purpose, in any way, and in any media worldwide now known or later discovered, including, without limitation, the right to create derivative works, make improvements, perform (including through digital performance), and transmit (including through digital transmissions) such Submissions, and the right to transfer or sublicense such rights; (iii) we may have something similar to the Submissions already under consideration or in development; and (iv) you are not entitled to any compensation or reimbursement of any kind from us in connection with the Submissions under any circumstances.
Intellectual Property Rights
Trademarks. The Crooked name and logo are trademarks and service marks of Crooked. You do not have the right to use any of our trademarks, service marks, or logos, and your unauthorized use of any of these may be a violation of federal and state trademark laws.
Ownership. You acknowledge that all intellectual property rights in the Service, whether registered or unregistered, including but not limited to rights in graphics, logos, “look and feel,” trade dress, structure, organization, code, and all other content in the Service and compilation thereof, anywhere in the world, belong to us or our licensors and are valuable trade secrets and confidential information of Crooked, and are protected by intellectual property laws. You acknowledge and agree that Crooked, and/or its licensors, own all right, title, and interest in and to the Service, including all intellectual property, industrial property, and proprietary rights recognized anywhere in the world at any time and that the Service is protected by U.S. and international copyright laws. Further, you acknowledge that the Service may contain information that Crooked has designated as confidential, and you agree not to disclose such information without Crooked’s prior written consent. Nothing posted on the Service grants a license to any Crooked trademarks, copyrights, or other intellectual property rights, whether by implication, estoppel or otherwise. You should assume that everything you see or read on the Service is proprietary information protected by copyright or trademark unless otherwise noted and may not be used except with the written permission of Crooked. When accessing the Service, you agree to obey the law and to respect the intellectual property rights of others. Your use of the Service is at all times governed by and subject to laws regarding copyright ownership and use of intellectual property.
Third Party Content
Any opinions, advice, statements, services, advertisements, offers or other information or content expressed or made available through the Service by third parties, including information providers, are those of the respective authors or distributors and not Crooked. Neither Crooked, its licensors nor any third party content providers guarantee the accuracy, completeness or usefulness of any content. Furthermore, neither Crooked nor its licensors endorse or are responsible for the accuracy and reliability of any opinion, advice or statement made on the Service by anyone other than an authorized Crooked or licensor representative while acting in his/her official capacity. You may be exposed through the Service to content that violates Crooked’s policies or is otherwise offensive. You access the Site and Service at your own risk. Crooked takes no responsibility for your exposure to third party content through the Service. Crooked and its licensors do not assume, and expressly disclaim, any obligation to obtain and include any information other than that provided to it by its third party sources. It should be understood that Crooked does not advocate the use of any product or procedure described through the Service, nor is Crooked responsible for misuse of a product or procedure due to typographical error.
Linking to the Site
Crooked reserves the right to disallow you to link to the Site at any time in its sole discretion. If Crooked exercises such right, you agree to immediately remove and disable any and all of your links to the Site. In the absence of a written agreement with Crooked specifying how you may link to the Site, use the following guidelines for adding one or more links to the Site from your website:
The link must be a text-only link that clearly includes the URL of the applicable Site;
The appearance, position and other aspects of the link may not be such as to damage or dilute the goodwill associated with Crooked’s good name and trademarks;
The appearance, position and other aspects of the link may not create the false impression that an entity is associated with, sponsored by, or endorsed by Crooked;
The link, when activated by a user, must display the Site full-screen and not within a “frame” on the linking website and linking may not trigger any interstitial or pop-up or pop-under windows; and
The link may not be used in connection with or appear on a website that a reasonable person might consider offensive, obscene, defamatory or otherwise malicious.
Disclaimer Regarding Linked Third Party Sites
The links on the Service may let you leave the particular Site or Service you are accessing in order to access a linked third party site (the “Linked Sites”). Crooked provides these links as a convenience, but Crooked neither controls nor endorses these Linked Sites, nor has Crooked reviewed or approved the content which appears on the Linked Sites. Crooked is not responsible for the legality, accuracy or appropriateness of any content, advertising, products, services or other materials on or available from any Linked Sites. You acknowledge and agree that Crooked shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any of the links, content, goods or services available on or through the Linked Sites.
Privacy
These TOU also incorporate the terms of our Privacy Policy (as updated from time-to-time). Our Privacy Policy explains how your personal information will be collected and used as well as other information regarding your privacy. By agreeing to these TOU, you are also agreeing to the Privacy Policy and you consent to (i) the processing of your personal information as explained in the Privacy Policy and (ii) the collection of information from your Device as explained in the Privacy Policy.
Disclaimer of Warranties
THE SITE AND THE SERVICE, AND ANY CONTENT, TOOLS, PRODUCTS OR SERVICES DISPLAYED, ACCESSED OR OBTAINED ON OR THROUGH THE SITE AND SERVICE ARE PROVIDED “AS IS”, “AS AVAILABLE”, AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Limitation of Liability

Indemnification
You agree to indemnify, defend and hold Crooked and its respective licensors, subsidiaries, affiliates, officers, directors, agents, co-branders or other partners, employees and representatives harmless from and against any and all claims, damages, losses, costs or expenses (including reasonable attorneys’ fees and disbursements) which arise directly or indirectly out of or from (i) your breach of these TOU; (ii) any allegation that any Submission Materials infringe or otherwise violate the copyright, trade secret, trademark or other intellectual property rights of a third party; and (iii) your access or use of the Service.
Copyright Policy
DMCA Policy. Crooked has adopted a policy that provides for the suspension and/or termination of any user who is found to have infringed on the rights of Crooked or of a third party, or otherwise violated any intellectual property laws or regulations. Crooked’s policy is to investigate any allegations of copyright infringement brought to its attention. Take-Down Notice. If you have evidence, know, or have a good faith belief that your rights or the rights of a third party have been violated and you want Crooked to delete, edit, or disable the material in question, you must provide Crooked with all of the following information (as required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act) to our designated copyright agent set forth below:
- A physical or electronic signature of the copyright owner or the person authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed;
- Identification of the copyrighted work (or works) claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit Crooked to locate the material (providing URLs in the content of an email is the best way to help us locate content quickly);
- Information reasonably sufficient to permit Crooked to contact you, including your address, telephone number, and e-mail address at which you may be contacted;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by you, or your agent, or the law;
- A statement made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner’s behalf.

If you fail to comply with each requirement above, your DMCA notice may not be valid and may not be acknowledged. Once proper notice is received by the Designated Agent, it is Crooked’s policy to investigate the claim and notify the alleged infringer of your claim. If we determine that you have raised a legitimate copyright claim, we will remove or disable access to the infringing material and notify the content provider, member, or user that we have removed or disabled access to the material. In addition, repeat offenders will have the infringing material removed from the system and Crooked will terminate such content provider’s, member’s, or user’s access to the Service.Counter-Notice. If you believe that the material that was removed or to which access has been disabled is either not infringing, or you believe that you have the right to post and use such material from the copyright owner, the copyright owner’s agent, or pursuant to the law, you must send a counter-notice containing the following information to the Designated Agent:

If a counter-notice is received by the Designated Agent, Crooked may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed material or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member, or user, the removed material may be replaced or access to it restored in 10 to 14 business days or more after receipt of the counter-notice, at Crooked’s discretion.
Jurisdictional Issues
Crooked makes no representation or warranty that the content and materials on the Service is appropriate or available for use in locations outside the United States. Those who choose to access the Service from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent applicable. Crooked reserves the right, at any time in its sole discretion, to limit the availability and accessibility of the Site or the Service to any person, geographic area or jurisdiction Crooked so desires, and to limit the quantities of any such service or products that Crooked may provide.
Termination
You agree that Crooked, in its sole discretion, may terminate your access or use of the Service, and remove and discard any content within the Site or Service, at any time and for any reason. You agree that any actions taken under this Section may be effective without prior notice to you.
Governing Law
These TOU and the relationship between you and Crooked shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You and Crooked irrevocably agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the county of Los Angeles, in the State of California, and waive any jurisdictional, venue or inconvenient forum objections to such courts.
Notice for California Residents
In accordance with California Civil Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd, Ste N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
Notice for New Jersey Residents
If you are a consumer residing in New Jersey, the following provisions of this TOU Agreement do not apply to you: Section 11 (Disclaimer of Warranties), Section 12 (Limitation of Liability), and Section 17 (Governing Law) above, the California governing law provision (for example, to the extent that your rights as a consumer residing in New Jersey are required to be governed by New Jersey law).
Waiver and Severability
The failure of Crooked to exercise or enforce any right or provision of these TOU shall not constitute a waiver of such right or provision. If any provision of these TOU is found by a court of competent jurisdiction to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severed here from and shall not affect the validity and enforceability of any remaining provisions.
Successors and Assigns
Crooked may perform any of its obligations or exercise any of its rights under this TOU through one or more of its corporate affiliates (including any entity that directly or indirectly controls, is controlled by or is under common control with Crooked). If Crooked or its assets are acquired by another entity, that entity will assume Crooked’s rights and obligations as described in this TOU. You may not assign your rights or obligations under this TOU, by operation of law or otherwise, without Crooked’s prior written consent.
Updates
Crooked may modify these TOU at any time, as it deems appropriate. If you disagree with the changes to the TOU, you must discontinue your use of the Service, and if you have registered as a member, cancel your registration. Your continued access or use of the Site or Service following such notice signifies your acceptance of the modified TOU. It is your responsibility to review the TOU regularly to be aware of such modifications. Crooked reserves the right to modify or discontinue the Site or Service with or without notice. Crooked will not be liable to you or any third party should Crooked exercise its right to modify or discontinue the Site or Service. If you object to any such changes, your sole recourse will be to cease access to the Site or Service. Continued access to the Site or Service following notice of any such changes will indicate your acknowledgement of such changes and acceptance of the Site or Service as so modified and your use of new Service will be governed by these TOU.
